Subscription Plan Terms

These Subscription Plan Terms (“Subscription Terms”) apply to subscription plans to HackerRank Services purchased through the HackerRank online purchasing portal offered by HackerRank.

A.  Master Subscription Agreement.  These Subscription Terms are subject to HackerRank’s Master Subscription Agreement available at https://www.hackerrank.com/about-us/msa/, which is incorporated by reference into these Subscription Terms. These Subscription Terms and the Master Subscription Agreement are collectively referred to as the “Agreement.” These Subscription Terms will control over any conflicting terms of the Master Subscription Agreement and use capitalized but undefined terms that will have the same meaning as within the Master Subscription Agreement.

B.  Subscription Plans.  HackerRank offers both monthly and annual subscription plans for purchase online. All subscription plans start on the date Customer completes its online purchase (the Services Start Date).

• Monthly Plans.  Monthly subscription plans continue on a month-to-month basis, automatically renewing each month on the date of the month corresponding to the Services Start Date (or the last day of the month if a month does not have such a date) until Customer’s subscription is cancelled in accordance with these Subscription Terms.
• Annual Plans.  Annual subscription plans continue for an initial term of one (1) year from the Services Start Date. Thereafter, annual plans automatically renew for successive one-year terms on each anniversary of the Services Start Date unless Customer’s subscription is cancelled in accordance with these Subscription Terms.

C.  Billing.  Each monthly or annual period (as applicable based on Customer’s plan) during Customer’s subscription term, is referred to as a “Billing Cycle.” All Fees (including applicable taxes) payable for each Billing Cycle are due at the start of the Billing Cycle. HackerRank will charge the Fees then-due to the payment method Customer provides at the point of purchase or updated by Customer within Customer’s account within the Services.  Customer is responsible for maintaining a valid and current payment method within its account.

D.  Attempt Features

• Included Attempts.  Subscriptions include a designated number of Attempts available for Customer’s use during each Billing Cycle.  An Attempt is used when a Candidate begins a test or joins an interview session. Unused Attempts expire at the end of each Billing Cycle, do not roll over to future Billing Cycles, and are not subject to any refund or credit.
• Overage Attempts.  During a Billing Cycle, Customer may elect to use more Attempts than those included with Customer’s subscription plan (“Overage Attempts”). HackerRank will charge Customer for Overage Attempts as follows: (a) if Customer uses 25 or more Overage Attempts during a Billing Cycle, HackerRank will automatically charge Customer’s payment method incrementally for batches of 25 Overage Attempts used once Customer uses the 25th Overage Attempts in each batch; or (b) if Customer uses less than 25 Overage Attempts during a Billing Cycle or has an unpaid partial batch of Overage Attempts used at the end of a  Billing Cycle, HackerRank will include the Fees for those unpaid Overage Attempts as part of the Fees charged in Customer’s next Billing Cycle.

E.  Changing Plans.  Customer may make certain changes to Customer’s subscription plan during a Billing Cycle by using the plan change features available within the Services. If Customer has purchased a monthly plan, Customer may change to another monthly plan or to an annual plan; and, if Customer has purchased an annual plan, Customer may change to another annual plan. Changes from a monthly plan to another monthly plan or an annual plan, and changes from an annual plan to a higher priced annual plan, take effect on the date processed. For these changes, HackerRank will issue a prorated charge to Customer’s payment method or credit toward future charges, as applicable, to account for any difference in price between the Customer’s plan before and after the change. Changes from an annual plan to a lower priced annual plan will take effect at the end of Customer’s annual Billing Cycle in which the change is processed.

F.  Changes to Terms or Fees.  HackerRank may make prospective changes to these Subscription Terms or its subscription plans or Fees upon at least 30 days prior written notice to Customer. Any such changes will take effect at the start of the next Billing Cycle following that 30 day notice period. If Customer does not agree to a change, Customer may cancel its subscription to the Services before the change takes effect.

G.  Subscription Cancellation

• Cancellation by Customer.  Customer may cancel its subscription at any time by using the cancellation feature available within the Services. Cancellations by Customer will be effective at the end of Customer’s then-current Billing Cycle.
• Cancellation by HackerRank.  HackerRank reserves the right to cancel Customer's subscription by not renewing Customer's subscription upon at least 30 days advanced notice to Customer. Cancellations by HackerRank will be effective at the end of the Billing Cycle in which the 30-day notice period expires.
• Effect of Cancellation.  Customer will not receive any refund or credit for the time period between the date of processing the cancellation and the cancellation effective date, but Customer will continue to have access to the Services during that period. Customer’s subscription will also be deemed cancelled upon any termination of the Agreement.

H.  India Plan Restrictions.  If Customer purchases a plan designated for use in India only, then Customer's Users may only access the Services from within India.
